1. Acceptance of Terms

By accessing or using the Nuv website, mobile applications, and related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.

Nuv, a brand of HealthFare Group, LLC ("Nuv," "we," "us," or "our") operates the Platform to connect patients with licensed healthcare providers and facilitate access to prescription medications and wellness treatments.

The Platform provides technology services that enable you to:

Important: Nuv is a technology platform. Medical services are provided by independently licensed Providers. Medications are compounded and dispensed by Strive Pharmacy, a licensed compounding pharmacy. Nuv does not practice medicine, and no agency, employment, or joint venture relationship exists between Nuv and any Provider or pharmacy.

The information provided on the Platform is for general informational purposes only and does not constitute medical advice. Always consult with a qualified healthcare provider regarding any medical condition or treatment. Do not disregard professional medical advice or delay seeking treatment based on information obtained through the Platform.

In case of a medical emergency, call 911 or go to the nearest emergency room immediately. The Platform is not designed for emergency medical situations.

5. Cash-Pay Model

Nuv operates on a cash-pay (self-pay) model. We do not bill insurance, Medicare, Medicaid, or any federal or private payor. You are responsible for the full cost of all services and medications. You may not submit claims for reimbursement to any insurance provider for services received through the Platform.

We offer payment options including credit/debit cards, American Express, Zelle, PayPal, Apple Pay, Venmo, Affirm, Klarna, CashApp, AfterPay, and CareCredit. Installment payments through third-party providers may include additional fees.

6. Pharmacy Services

Prescriptions are filled by Strive Pharmacy, a licensed and trusted compounding pharmacy. Strive Pharmacy follows strict quality standards to ensure medications are safe and effective. Some medications may be compounded, meaning they are custom-prepared based on a Provider's prescription. You are free to have prescriptions transferred to the pharmacy of your choice.

7. Financial Relationships Disclosure

Nuv has financial relationships with the entities that employ or contract with the Providers who deliver medical services through the Platform. This disclosure is made in the interest of transparency. All clinical decisions are made independently by the treating Provider based on their professional medical judgment.

8. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for all activities that occur under your account.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, images, software, and trademarks, is the property of Nuv or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Nuv, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or profits.

Nuv's total liability for any claim arising from these Terms shall not exceed the amount you paid to Nuv in the twelve (12) months preceding the claim.

11. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Arbitration shall take place in Broward County, Florida.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to clinic@healthfaregroup.com within thirty (30) days of first accepting these Terms.

Before initiating arbitration, you agree to first attempt to resolve the dispute informally by contacting us at clinic@healthfaregroup.com.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Broward County, Florida.

13. Electronic Communications

By using the Platform, you consent to receiving electronic communications from us, including emails, text messages (if you opt in), and notices posted on the Platform. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

14. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Termination

We may terminate or suspend your access to the Platform at any time, without notice, for any reason, including violation of these Terms. You may cancel your account at any time. No contracts, no cancellation fees.
